These Terms of Service (« Terms ») govern your access to and use of https://lorentzianbot.com (the « Site »), operated by Logic Nexa Solutions, a sole proprietorship organized under the laws of Ontario, Canada (« we, » « us, » « our »). By accessing the Site or purchasing any product through it, you agree to these Terms. If you do not agree, do not use the Site.
1. Who We Are / What We Sell
We sell a software license for LORENTZIAN, consisting of an MT4 Expert Advisor and a companion decision-engine application (« Software »). Use of the Software itself is governed separately by the End-User License Agreement (EULA), which you must also accept at checkout. These Terms govern the Site and the purchase transaction; the EULA governs your use of the Software.
2. Not Financial Advice
Nothing on the Site constitutes financial, investment, legal, or tax advice. All content — including performance illustrations, backtests, and the decision-pipeline walkthrough — is provided for informational purposes about how the Software works, not as a recommendation to trade any particular instrument. See the Risk Disclosure page, which applies to all use of the Site and Software.
3. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and legally able to enter into contracts to purchase from the Site. You are responsible for ensuring that purchasing and operating automated trading software is lawful in your jurisdiction and permitted under your broker’s terms.
4. Orders, Pricing & Payment
4.1. All prices are listed in USD and are subject to change without notice; the price at the time your order is placed applies to that order.
4.2. Payment is processed by our third-party payment processor(s). We do not store your full payment card details.
4.3. At checkout you will be required to affirmatively accept these Terms, the EULA, and the Risk Disclosure. Orders will not be fulfilled without this acceptance. Your MT4 account number(s) are not collected at checkout — you designate each one yourself, up to the account limit described in the EULA, the first time the Software runs against it.
4.4. We reserve the right to refuse or cancel any order, including for suspected fraud, error in pricing, or violation of these Terms.
5. Delivery / License Activation
Upon successful payment, you will receive access to download the Software and your license key via the account portal and/or email. Your license is activated per MT4 account only once the Software successfully completes its first license check against that account — see the EULA for how account activation works. Delivery timing and any conditions are described in the Refund Policy.
6. Refunds
See the Refund Policy, incorporated into these Terms by reference.
7. Account
You are responsible for maintaining the confidentiality of your Site account credentials and for all activity under your account. Notify us immediately of any unauthorized use.
8. Intellectual Property
All content on the Site (text, graphics, the decision-pipeline visualizations, logos) is owned by or licensed to us and protected by intellectual property law. Nothing in these Terms grants you rights to that content beyond viewing it for your own evaluation of the Software.
9. Prohibited Conduct
You agree not to: misrepresent your identity or payment information; attempt to circumvent license activation or account-binding; resell or redistribute the Software or license keys; scrape or reverse engineer the Site; or use the Site for any unlawful purpose.
10. Disclaimers & Limitation of Liability
THE SITE AND ITS CONTENT ARE PROVIDED « AS IS » WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES AND SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SITE. (See the EULA for Software-specific liability limitations, which apply to trading losses.)
11. Indemnification
You agree to indemnify and hold us harmless from claims arising out of your breach of these Terms or misuse of the Site or Software.
12. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario, Canada, and each party irrevocably attorns to that jurisdiction. These Terms do not require mandatory arbitration and do not include a class-proceeding waiver, as such provisions are frequently unenforceable against consumers under Ontario’s Consumer Protection Act, 2002 (and similar consumer-protection statutes in other jurisdictions).
13. Changes to These Terms
We may update these Terms at any time. Continued use of the Site after changes take effect constitutes acceptance. Material changes affecting active licenses will be communicated via email to the address on file.
